This agreement is entered into between the party named above ("Seller") and Macadamia Services Management (MSM) ("Agent"), collectively referred to as the Parties.
The Seller grants MSM the right to market and sell specified products under agreed terms, subject to the conditions outlined below, and MSM’s standard Terms and Conditions according to the production schedule, to be provided to MSM, and its revisions.
The Seller further confirms that the Authorised Person named above is designated by the undersigned as the primary contact for MSM and is authorised to act on behalf of the Seller, including issuing and receiving instructions, approvals, and communications relating to procurement schedules and platform listings, unless MSM is notified in writing of a change.
The Seller agrees to:
Immediately notify MSM directly of any changes to product availability, pricing, or quality that would affect delivery obligations. This can be done by making the required changes to the production schedule and sending it to sales@macsm.org. Please confirm receipt and acknowledgement of the instruction after sending it, mentioning the schedule that was revoked and the revision number of the schedule in force.
MSM agrees to:
• Market the Seller's products in good faith, leveraging MSM’s trading platform and other channels to secure optimal sales.
• Provide regular updates on market conditions, buyer interest, and sales outcomes.
• Notify the Seller of any material changes affecting sales, including buyer preferences and market trends.
Both parties shall comply with applicable laws, including the Protection of Personal Information Act (POPIA). MSM will handle any data provided in connection with this agreement in accordance with its
Cyber Security and Data Protection Policy.
